Thank you Munby. What else do the MoJ, the Government at large and the regulators, including the SRA, expect? The only duty of company directors is to maximise shareholders' interests. Where ownership and management are separated, companies cannot lawfully "do the right thing" unless by coincidence it is also the most profitable. Section 172(2) of the Companies Act 2006 is not a cure-all but it would remove the legal conflict of interest from employees who want to do the right thing. Government departments etc are either too cowardly to use s172(2) as one tool to fetter the excesses or corporate behaviour or they have an interest in enabling corporate power to override public interest. They do not seem to realise that the corporates will outwit them at every turn.
