The drafting of the Company Law Reform Bill has missed an opportunity to clarify the duties of shadow directors, the chairman of the Law Society's company law committee told delegates. Peter Graham, a consultant at City firm Berwin Leighton Paisner, said the extent of shadow directors' duties was being left to the courts to decide, which could lead to uncertainty. Philip Bovey, director of the Company Law Reform Bill team at the Department of Trade and Industry, said the provision relating to shadow directors was the result of a change made at a late stage in the Bill's drafting, in the wake of a court judgment.
